Terms of Service

Effective August 12, 2026

These Terms of Service (“Terms”) govern your access to and use of ShadowLedger (the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

The Service

ShadowLedger analyzes accounting data you provide, by uploading an export or connecting QuickBooks Online, to detect software subscriptions, flag potential waste, and project renewals. The Service provides estimates and informational reports; it does not provide financial, accounting, tax, or legal advice, and you are responsible for decisions you make based on it.

Automated analysis and its limits

Parts of the Service use a large language model to match transaction descriptions to vendors, answer questions about your data, and read terms out of contract documents you upload. Output from those features is a suggestion for a person to check, not a determination. Renewal dates, recurring amounts, and contract terms are inferred and can be wrong, and a notice deadline we show you may not be the one in your contract. Do not rely on the Service as the sole basis for cancelling, renewing, or paying anything. Which provider receives what is described in the Privacy Policy.

Accounts

You must provide accurate information when registering and keep your account credentials secure. You are responsible for activity under your account. You must be at least 18 years old and able to form a binding contract to use the Service.

Firm accounts and client data

The Firm plan lets an accounting or bookkeeping firm run a separate workspace for each client company it serves. If you use the Service that way, the following apply in addition to everything else in these Terms.

  • You confirm that you are authorized to access and process each client company's accounting records for this purpose, whether through your engagement letter with that client or otherwise. We do not verify this and cannot; it is yours to hold.
  • As between you and us, you are the controller of your clients' data and we process it on your instructions. Our Data Processing Agreement governs that processing and is incorporated into these Terms for Firm accounts.
  • You are responsible for what your firm's users do with the client workspaces, including reports you share outside the Service using a share link.

Plans, billing, and cancellation

  • The Service offers a free tier, a paid “Pro” subscription, and a “Firm” plan. Paid plans are billed in advance on a recurring basis through Stripe, in US dollars.
  • Subscriptions renew automatically at the end of each billing period, at the then-current price for your plan, until you cancel. You may cancel at any time from the Billing page in the application. Cancellation stops future charges and takes effect at the end of the period you have already paid for, which you keep in full.
  • The Firm plan is billed per client company, at $15 per client per month, with a minimum of 4 clients. A client company is counted once the Service has produced at least one finding for it; connecting a client that has produced no findings does not add to the bill. The billed quantity is recalculated as clients qualify, so your charge can change from one period to the next as your book changes.
  • Prices may change; any change applies to future billing periods, and your existing subscription is not re-priced mid-term without notice.
  • Except where required by law, payments are non-refundable. Nothing here limits a refund or cancellation right you have under the consumer law of your own country.
  • If a payment fails, we may suspend paid features until payment is resolved.
  • Prices are exclusive of VAT, GST, and any similar tax, which is added where we are required to charge it.

Acceptable use

You agree not to:

  • Upload data you do not have the right to process.
  • Attempt to disrupt, overload, reverse-engineer, or gain unauthorized access to the Service.
  • Use the Service to violate any law or the rights of others.
  • Resell or provide the Service to third parties except as expressly permitted.

Your data

You retain ownership of the data you provide. You grant us a limited license to process it solely to provide the Service. Our handling of personal information is described in our Privacy Policy. You are responsible for ensuring you have the right to connect any accounting system or upload any export.

Site content

The pages on this site, including the figures published in the live demo, belong to ShadowLedger. You may quote and republish those figures, in articles, research, and datasets, as long as you credit ShadowLedger and link to the page you took them from. That permission covers the published numbers and the text around them. It does not license the software itself, and it does not give you the right to use the ShadowLedger name or logo in a way that suggests we endorse you.

Third-party services

The Service integrates with third parties, and the current list of who receives what is published on the Security page and in the Privacy Policy. Your use of a platform you connect, such as QuickBooks Online, is subject to that platform's own terms, and we are not responsible for its acts or omissions.

Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that its estimates and detections will be accurate or complete.

Nothing in these Terms excludes or limits any right or guarantee that cannot be excluded under the law that applies to you. Consumers in Australia and New Zealand keep their statutory consumer guarantees, and consumers in the United Kingdom and the European Union keep their statutory rights, whatever this section says.

Limitation of liability

To the maximum extent permitted by law, ShadowLedger will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the claim.

Indemnification

You agree to indemnify and hold ShadowLedger harmless from claims arising out of your data, your use of the Service, or your violation of these Terms.

Termination

You may stop using the Service at any time, and closing your account erases your data as described in the Privacy Policy. We may suspend or terminate access if you violate these Terms or if necessary to protect the Service or its users. Provisions that by their nature should survive termination will survive.

Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute will be subject to the exclusive jurisdiction of the state and federal courts located in California. If you are a consumer resident outside the United States, this does not deprive you of the protection of the mandatory law of the country you live in, or of the right to bring proceedings there where that law gives you one.

Changes to these Terms

We may update these Terms from time to time. We will post the updated version here and revise the effective date above. Your continued use of the Service after changes take effect constitutes acceptance.

  • August 12, 2026. Added the Firm plan and its per-client billing, an automatic-renewal and cancellation clause, the limits on automated analysis, client-data responsibilities for firms with the DPA incorporated by reference, tax wording, and consumer-law carve-outs for the UK, EU, Australia and New Zealand.
